  5. These Terms and Conditions of Use and Sale ("Terms") govern your access to and use of the FineArtsNIL.com website, applications, services, subscriptions, digital tools, event pages, meeting features, recordings, transcripts, notifications, and related offerings (collectively, the "Services").

  7. The Services are provided by Sagacity Services, LLC, doing business as FineArtsNIL ("FineArtsNIL," "we," "us," or "our"), with a mailing address at 660 Heron Run Ct and contact email at info@fineartsnil.com.

  9. By accessing, purchasing, registering for, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

  11. 1. Eligibility and Accounts

  13. You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase a subscription or create an account unless a parent, legal guardian, school, or other authorized adult has done so on your behalf.

  15. You agree to provide accurate, current, and complete account and registration information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

  17. You may not share your account with others except where we expressly allow managed access, guest access, or similar functionality within the Services.

  19. 2. Nature of the Services

  21. FineArtsNIL provides digital subscription services and online tools that may include event pages, scheduling tools, guest access features, livestream links, meeting notes, video content, discussion areas, calendar integrations, reminders, recordings, transcripts, and related digital experiences.

  23. Certain features, events, pages, meetings, livestreams, recordings, transcripts, or communications may only be available to specific users, subscribers, invitees, or registrants.

  25. We may change, improve, suspend, or discontinue any part of the Services at any time, with or without notice, subject to applicable law.

  27. 3. Orders, Registrations, and Digital Access

  29. When you purchase a subscription, register for an event, reserve access, or otherwise transact through the Services, you agree that your order is an offer to purchase the applicable digital services, access rights, or related offerings under these Terms.

  31. We reserve the right to accept, reject, limit, cancel, or revoke any order, registration, or access request in our discretion, including in cases of suspected fraud, abuse, technical error, pricing error, violation of these Terms, or misuse of the Services.

  33. Access to digital content or features may begin immediately after purchase or activation.

  35. 4. Pricing and Payment

  37. Prices are listed in U.S. dollars unless otherwise stated. Applicable taxes, fees, or charges may be added at checkout where required.

  39. You authorize us and our payment processors to charge the payment method you provide for all purchases, subscriptions, renewals, taxes, and other authorized charges associated with your account.

  41. We may use third-party payment processors. We do not store full payment card details except as supported by our payment providers and systems.

  43. If your payment method is declined, expires, or cannot be charged, we may suspend or terminate access to paid Services until payment is successfully processed.

  45. 5. Subscriptions, Auto-Renewal, and Cancellation

  47. Certain Services are offered on a recurring subscription basis. If you purchase a recurring subscription, you authorize FineArtsNIL to automatically charge your payment method at the beginning of each billing period until you cancel.

  49. The current subscription price, billing interval, and included features will be shown at checkout or in your account. Promotional pricing may be temporary and may change at renewal as disclosed at sign-up or renewal.

  51. You may cancel your subscription at any time through your account, if that feature is available, or by contacting us at info@fineartsnil.com.

  53. Unless otherwise stated at checkout or required by law:
  54. - Cancellation stops future renewals.
  55. - Your subscription remains active through the end of the current paid billing period.
  56. - We do not provide partial-period refunds or prorated credits for unused time.

  58. We will maintain a cancellation method that is reasonably simple and accessible.

  60. 6. Refund Policy

  62. Unless otherwise required by law or expressly stated in a specific offer, purchase page, or refund policy:
  63. - Fees for digital subscriptions, digital access, registrations, and related Services are non-refundable once access has been granted.
  64. - We may, in our discretion, issue refunds, credits, or adjustments in cases involving duplicate charges, technical failures, billing errors, or other exceptional circumstances.

  66. Any approved refund will be issued to the original payment method where possible.

  68. 7. Event Schedules, Livestreams, Meetings, and Access

  70. Events, performances, meetings, livestreams, and related content may be rescheduled, modified, interrupted, replaced, or canceled at any time.

  72. We do not guarantee that any event, livestream, guest session, video, recording, meeting link, or transcript will be available at any specific time or without interruption.

  74. Access to a meeting, livestream, or other session may depend on registration status, subscription status, invitation status, technical compatibility, third-party platform availability, and compliance with these Terms.

  76. Guest or demo access is limited to the scope expressly described on the applicable page. FineArtsNIL may revoke guest or demo access at any time.

  78. 8. SMS, Email, and Other Notifications

  80. By providing your phone number or email address and opting in where required, you agree to receive transactional, account, event, billing, operational, and service-related communications from FineArtsNIL.

  82. If you separately consent to SMS notifications, reminders, or marketing messages, you agree that FineArtsNIL may send text messages to the mobile number you provide. Message frequency may vary. Message and data rates may apply.

  84. You may opt out of SMS messages at any time by replying STOP, where applicable, or by contacting us at info@fineartsnil.com. You may reply HELP for help where supported.

  86. Consent to receive SMS messages is not a condition of purchase unless explicitly stated for a specific service feature.

  88. 9. Recordings, Transcripts, and Meeting Content

  90. Some meetings, sessions, livestreams, or interactive features may be recorded, transcribed, summarized, archived, or made available to authorized users.

  92. By joining, attending, hosting, uploading to, or participating in a meeting or event through the Services, you acknowledge and agree that audio, video, chat, screen content, meeting notes, attendance details, and related content may be recorded or processed as part of the Services.

  94. If you do not consent to such recording or processing, do not join or participate in the applicable session.

  96. You represent that you have the necessary rights and permissions for any content, materials, or personal information you upload, display, share, or make available through the Services.

  98. 10. Privacy

  100. Your use of the Services is also governed by our Privacy Policy, available at https://fineartsnil.com/privacy, which describes how we collect, use, store, and share personal information.

  102. You agree that we may process your information as described in the Privacy Policy, including for account administration, billing, event operations, support, notifications, security, recordings, transcripts, and service improvement.

  104. 11. Minors and Educational Use

  106. If the Services are used by or for minors, the parent, legal guardian, school, teacher, or other authorized adult is responsible for obtaining any permissions, consents, and approvals required by law and for supervising use of the Services as appropriate.

  108. If FineArtsNIL becomes aware that personal information has been collected from a child in a manner that violates applicable law, we may suspend access and take appropriate remedial action.

  110. 12. Acceptable Use

  112. You agree not to:
  113. - use the Services for unlawful, fraudulent, abusive, defamatory, harassing, or infringing purposes;
  114. - interfere with or disrupt the Services or related networks;
  115. - attempt to gain unauthorized access to any account, system, meeting, transcript, recording, or content;
  116. - scrape, copy, reproduce, distribute, or exploit the Services except as expressly permitted;
  117. - impersonate another person or misrepresent your affiliation;
  118. - share restricted links, private content, or paid access with unauthorized users;
  119. - upload malicious code, spam, or harmful content.

  121. We may suspend or terminate access for violations of these Terms.

  123. 13. Intellectual Property

  125. The Services, including the site design, software, text, graphics, branding, compilations, workflows, and other content made available by FineArtsNIL, are owned by or licensed to FineArtsNIL and protected by applicable intellectual property laws.

  127. Except for limited personal or internal use expressly permitted through the Services, you may not copy, reproduce, modify, distribute, publicly display, publicly perform, republish, download, transmit, sell, or create derivative works from the Services without our prior written permission.

  129. 14. User Content

If you submit, upload, post, record, transmit, or otherwise provide content through the Services ("User Content"), you retain any rights you own in that content, but you grant FineArtsNIL a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt, transmit, display, and make available that content as necessary to operate, maintain, secure, improve, and provide the Services.

  133. You represent that you have all rights necessary to grant this license and that your User Content does not violate any law or third-party right.

  135. 15. Third-Party Services

  137. The Services may integrate with or link to third-party services, including payment processors, livestream platforms, calendar providers, video services, communications tools, and virtual meeting platforms.

  139. FineArtsNIL is not responsible for the availability, security, accuracy, or practices of third-party services. Your use of third-party services is subject to the terms and privacy policies of those third parties.

  141. 16. Disclaimers

  143. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.

  145. FINEARTSNIL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

  147. We do not guarantee uninterrupted availability, error-free operation, continuous access, successful transmission of messages, guaranteed event availability, guaranteed recording/transcript availability, or compatibility with every device, browser, network, or third-party platform.

  149. 17. Limitation of Liability

  151. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINEARTSNIL AND ITS OFFICERS, DIRECTORS, OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

  153. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF FINEARTSNIL FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO FINEARTSNIL FOR THE APPLICABLE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US $100), WHICHEVER IS GREATER.

  155. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

  157. 18. Indemnification

  159. You agree to defend, indemnify, and hold harmless FineArtsNIL and its officers, directors, owners, employees, contractors, affiliates, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
  160. - your use of the Services;
  161. - your User Content;
  162. - your violation of these Terms; or
  163. - your violation of any law or third-party right.

  165. 19. Suspension and Termination

  167. We may suspend, limit, or terminate your access to some or all of the Services at any time, with or without notice, if we reasonably believe you violated these Terms, created risk for other users, failed to pay amounts due, or misused the Services.

  169. Upon termination, provisions that by their nature should survive termination will survive, including those relating to payments due, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

  171. 20. Governing Law and Venue

  173. These Terms and any dispute arising out of or relating to the Services or these Terms will be governed by the laws of the State of Georgia, without regard to conflict of laws rules.

  175. 21. Changes to These Terms

  177. We may update these Terms from time to time. If we make material changes, we may provide notice by posting updated Terms on the website, by email, through your account, or by other reasonable means.

  179. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms.
